1. About these Terms

These Terms of Service ("Terms") are a binding agreement between you and TruWell LLC ("Truwell," "we," "our," or "us"). They cover your access to and use of the website at truwell.us, any subdomain, and any content, features, communications, or services we make available (collectively, the "Service").

If you do not agree with these Terms, please do not use the Service.

2. Who can use the Service

You may use the Service only if you can form a binding contract with Truwell and only in compliance with these Terms and all applicable laws. By using the Service, you represent that you are at least 18 years old. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.

3. The Service today

Truwell is currently in a pre-launch phase. The website provides information about what we are building, lets you join a list to receive updates, and lets prospective investors request information. Features, pricing, availability, and offerings described on the Service may change at any time without notice.

Nothing on the Service constitutes an offer to sell, or a solicitation of an offer to buy, securities or any membership or service. Any future commercial offering will be governed by separate terms that you will be asked to review and accept at that time.

4. Communications and email sign-ups

When you submit your email address through the Service, you authorize us to send you communications related to Truwell, including launch updates, news, events, and related marketing. You can unsubscribe at any time using the link in any email or by contacting us at the address below. Some operational or transactional messages may still be sent where permitted by law.

5. No medical advice

The Service is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Content on the Service, including descriptions of wellness modalities, longevity practices, or recovery tools, is general in nature and is not personalized medical guidance. "Truwell," the Truwell mark, and related logos are trademarks of Truwell. You may not use any Truwell trademark without our prior written permission.

If you submit any feedback, ideas, comments, or other materials to us (a "Submission"), you grant Truwell a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute the Submission for any purpose, without obligation to you. You represent that you have the right to grant this license and that your Submission does not violate any third-party right.

The Service may contain links to third-party websites, services, or content that we do not own or control. We are not responsible for, and do not endorse, the content, privacy practices, or other policies of any third party. Your interactions with third parties are solely between you and that third party.

To the maximum extent permitted by law, Truwell disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Statements about future products, programs, partnerships, or capabilities are forward-looking and are not promises or guarantees.

11. Limitation of liability

To the maximum extent permitted by law, in no event will Truwell, its affiliates, or its or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

In no event will Truwell's total aggregate liability arising out of or relating to these Terms or the Service exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Truwell and its affiliates, and its and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (i) your access to or use of the Service, (ii) your violation of these Terms, or (iii) your violation of any applicable law or third-party right.

13. Changes to the Service or these Terms

We may modify, suspend, or discontinue all or any part of the Service at any time, with or without notice. We may also update these Terms from time to time. If we make a material change, we will indicate it by updating the "Effective" date above and, where appropriate, by other reasonable means. Your continued use of the Service after a change becomes effective constitutes your acceptance of the updated Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Sections that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflicts of law principles. You and Truwell agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial to the extent permitted by law.

You may bring claims only on your own behalf, not as a plaintiff or class member in any class or representative action.

16. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Truwell regarding the Service. If any provision is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them without restriction.
